Why I Walked Away From The Academy Deal

A personal, honest account of the 31 page contract, the public slander I endured, the same evening ultimatum, and why my principles of Passion Over All and Don't Be Evil made signing an impossibility.

I am an 18 year old pre med student preparing for my own medical entrance examinations. Over the past year, I put more than 1,500 hours into building BeambePrep from the ground up. I spent 14 hour days writing code, optimizing spaced repetition algorithms, building mobile and desktop apps, and structuring every single question and flashcard with my own hands.

I received zero technical help, zero content contributions, and zero developmental resources from that private online academy. Every single feature, every line of Python and JavaScript, and every formatted card belongs purely to my own effort.

When their founder finally sent me a 31 page legal contract in August 2026, the real terms were laid bare. In exchange for non binding recommendations and an estimated 70,000 PKR in monthly commissions, I was expected to freeze my Question Bank forever, surrender 30% cuts on student purchases, and accept 500,000 PKR personal fines in Lahore courts.

I will be completely blunt: 70,000 PKR is an amount I would gladly give in Zakat or Chanda before I ever consider selling out my platform software soul and my self respect.

The Night of July 29, 2026: Isolation & The 3 Hour Spectacle

What happened behind closed doors before this 31 page contract was drafted.

Documented History

The founder of that academy was simultaneously my teacher, my mentor, and my employer. I looked up to him, trusted his guidance, and worked endlessly for him. To understand why this August contract was an impossibility, you have to understand what happened on the night of July 29, 2026.

Isolated in Peshawar During the Bannu Lockdown

At the time, my hometown of Bannu was placed under an intense security lockdown with zero cellular network and zero home Wi-Fi coverage. To keep my MDCAT preparation alive, I had to travel alone to Peshawar and stay at my brother's flat. My brother is a plastic surgery resident who works grueling hospital shifts and was barely ever home.

I was completely isolated. With Bannu completely cut off from all communications, I could not even call my parents or family back home. I had nobody in the room to consult, no one to reach out to for advice, and a massive mountain of MDCAT backlog to study under immense stress.

3 Days of Relentless Coercion

Knowing I was isolated and drowning in study backlogs, the founder called and nagged me relentlessly for 3 straight days to sign over BeambePrep. His proposal was simple: hand over my platform entirely, erase the name BeambePrep from existence, delete everything I built with my own hands, and give me a measly 10% monthly cut from my own life's work.

The 3 Hour WhatsApp Slander Show

When I refused to surrender my startup, he retaliated. On the night of July 29, he created a dedicated WhatsApp group to host a 3 hour show where he publicly humiliated me in front of over 300 of my peers. He painted me as ungrateful, claiming he had given me a MacBook, an iPad, and a salary of over 100,000 PKR.

The Truth of Underpayment & Abuse

The truth was heartbreaking. I received zero MacBooks, zero iPads, and zero tech support. I was paid a basic 25,000 PKR salary while working extensive hours. I was regularly verbally abused, my salary was repeatedly delayed, I was shortchanged 20,000 PKR twice instead of my 25,000 PKR rate, and most recently, my pay was cut down to 18,500 PKR.

He had a pattern of doing similar toxic things to others before me. Because I had preserved hard proof, screenshots, and audio records of his conduct, and because he faced the reality of his actions being formally presented to his medical university, he was forced to back down and apologize after that entire 3 hour public show.

This 31 page legal contract dropped in August was simply the corporate continuation of that same July night: another attempt to bully an 18 year old pre med student into signing away his code, his platform, and his future.

Delayed Delivery

The contract was promised to me on August 16. It was delayed to August 19, then postponed to August 21, and finally sent to me on the afternoon of August 24, spanning 31 pages and 11,500 words. Despite their own repeated delays, they demanded that I read, accept, and sign away my platform that very evening.

It's only fair I get time as well, at least until the 1st of September, 2026 as I have NUMS MDCAT on 13th September, KMU MDCAT on 20th and Shifa test after that."

The Financial Impact on Me: Putting my role on hold meant immediately losing the 25,000 PKR salary I relied upon. As an 18 year old preparing for high stakes entrance exams and paying for server infrastructure, that is a real hurdle. But my independence is not for sale. BeambePrep will remain 100% free for all students throughout this MDCAT season, and perhaps forever.

The Forensic Contract Landmines

A detailed analysis of the clauses that sought to suppress BeambePrep software development.

1. The Frozen QBank & Planned Obsolescence
Clause 5.1, 5.2, 2.3
Clause 5.2: "[Beambe Prep] shall not add any new question or MCQ, replace, materially edit, update, expand, regenerate, reintroduce, or supplement any removed item... or cause the Frozen Bank to exceed its evidentiary baseline."

This clause froze my Question Bank permanently at 4,752 past paper questions up to 2025. It legally banned me from adding 2026, 2027, or 2028 past papers or updating explanations. Meanwhile, Clause 2.3 allowed the academy to take my exact 4,752 questions and monetize them on their platform. It was legally mandated software rot designed to make my tool obsolete over time.

2. One Way Non Compete & Product Lockdown

Clause 2.2: "Second Party/Beambe Prep shall be confined to Flashcard Content and shall not, directly or indirectly... engage in Course Content or Question Bank Content."

The academy remained 100% free to sell courses, live lectures, mocks, full length papers, and practice banks across Pakistan. In contrast, I was confined strictly to flashcards. If I launched timed mock exams, test sessions, or video explanations, I faced instant breach notices and lawsuits.

3. 30% Margin Extraction vs 10% First Installment Crumbs

Clause 7A.1: "a total referral benefit equal to thirty percent (30%) of the Standard Fee... 10% student discount and 20% cash commission to MedQuack."

When they referred a student to BeambePrep, they extracted a 30% cut on my price (10% discount plus 20% cash out of my pocket). When I referred a student to their courses, I received only 10% of their first installment only, with zero discount for students, and they retained unilateral power to reject the commission if the student was in their records prior.

4. The Discretionary Suspension Trap

Clause 8.3: "During any suspension, Beambe Prep shall remain fully bound by all of its obligations under this Agreement, including Clauses 4, 5, 7A, 7B, 10, 12, 13, 14..."

If the academy claimed subjective negative feedback about my app, they could unilaterally stop sending referrals on 7 days notice. However, even if they sent zero students, I remained legally locked in the 3 year non compete and question bank freeze.

5. The Permanent Institutional Gag Order
Clause 10.3 & 10.6
Clause 10.3: "Second Party shall not... provide to any university, educational institution, school, faculty member, administrator... any non-public information concerning the First Party..."

Standard commercial agreements protect proprietary algorithms and financial metrics. This contract contained an unprecedented, permanent clause forbidding me from ever contacting universities, medical colleges, and academic institutions regarding the founder commercial activities, surviving forever.

6. 500,000 PKR Penalties & Personal Liability
Clause 17.1 & Preamble
Clause 17.1: "The defaulting Party shall be liable to pay reasonable compensation... Rupees Five Hundred Thousand (PKR 500,000) as the agreed amount for each separate Material Breach."

Drafted in our personal capacities with CNIC numbers and home addresses, this clause stipulated a 500,000 PKR penalty per incident. Adding a new past paper question, releasing a quiz, or disputing terms created direct exposure to civil lawsuits in Lahore courts.

Because I chose to walk away and protect my independence, there is a very high probability that they will launch new smear campaigns, false allegations, or coordinated online attacks against me and BeambePrep.
